What You’ll Do Operational - In collaboration with the Senior Paralegal, manage operations inquiries and requests with respect to liquor licenses.
- Management of legal correspondence.
- Manage all administrative responsibilities of the legal department.
- Assist in invoice approval and processing for outside counsel.
- Download and route court filings, subpoenas, and pleadings.
- Draft and proofread correspondence and legal documents.
- Assist with ownership and management transitions.
Corporate - Draft and prepare minutes, consents, stock certificates, stock/membership interest transfer agreements, annual reports, state qualification applications, and other basic corporate documents.
- Assist in the preparation, compilation, and delivery of Board of Directors materials.
- Manage execution of documentation related to legal entity changes.
Transactional - Assist the legal, development, and finance groups on diligence and execution of transactions and documentation, including joint venture investments, land acquisition, leaseholds, construction, financing, re-financings, management, and franchise transactions.
- Transactional responsibilities include due diligence production and/or review, assisting with data room setup, preparing signature pages, tracking required signatures and approvals. Post-closing responsibilities include preparing closing volumes and updating corporate records.
- Project management and cross-functional collaboration with internal and external teams to execute transactions.
Other - Maintain a document management system for legal entities, operating/investment agreements, real estate ownership documents, financing documents, franchise agreements, management agreements, and other transactions.
- Assist and support lawyers and paralegals with their work as needed.
- Manage records, projects, and calendars to make sure everything functions smoothly.
- Communicate, manage, and process data with various other external and internal sources (e.g. outside counsel, HR, payroll, tax, operations, etc.).
- Participate in special projects and/or programs as requested by the General Counsel.
What You’ll Bring - 1-3 years of previous legal or other administrative support experience, with a focus on development/transactional matters.
- Ability to handle multiple projects, prioritize higher value work, handle deadline pressures, and sensitive information.
- Ability to maintain client confidentiality and privacy.
- High level of proficiency in database applications, as well as Outlook, Word, and Excel.
- Excellent organizational, drafting, and communication skills.
- Must be comfortable working independently in a fast-paced environment and also as part of a team, demonstrating reliability, strong work ethic, collaboration, and cooperation.
- Strong attention to detail and follow-through.
- Intellectually curious and adaptable to change.
- Previous experience working in the hospitality or real estate industry is a plus.
