Job Description



Summary:

White Lodging is seeking an experienced Corporate Paralegal to join its legal team. This high-profile position involves direct interface with attorneys and business leaders. This individual will report directly to the Senior Counsel.


Responsibilities


* Assisting the legal team with a wide array of operations-related matters for the portfolio of hotels in the United States
* Drafting and reviewing hotel operations contracts and working with operations counsel on same
* Drafting, reviewing and analyzing contracts, leases and other legal documents
* Managing commercial contract workflow on a daily basis, from implementing template contracts, to supporting negotiation and execution, to summarizing and filing in document repository
* Managing litigation, subpoenas, discovery, attorney rep letters, and requests for indemnification
* Communicating with insurance carriers and defense counsel on discovery and litigation deadlines
* Preparing and drafting purchase agreements
* Preparing and drafting disclosure schedules
* Reviewing and clearing title and survey
* Preparing ancillary transaction documents such as escrow instructions, estoppel certificates, deeds, easements, memorandum of leases, restrictive covenants and non-disturbance agreements
* Preparing transactional documents to facilitate purchases and sales of Company’s portfolio of hotel real estate
* Handling property management matters, including construction-related issues.
* Drafting, assembling and tracking signature packets
* Managing/overseeing the preparation of closing sets, binders and CDs (electronic format) and other post-closing deliverables; distribute to appropriate parties
* Interact and coordinate projects with various service companies
* Gathering transactional documents to facilitate the acquisition and sale of real estate
* Independently working with business leaders on all aspects of due diligenceIn addition to the above role responsibilities, you may be required to undertake other duties from time to time as the Company may reasonably require.


Other Information

Required Skills & Experience:
* Bachelor's degree required
* ABA-approved paralegal certificate is preferred
* 1-3 years of previous paralegal and/or legal administrative support experience, with a focus on commercial transactions/contracts (litigation experience a plus)
* Ability to handle multiple projects, prioritize higher value work, handle deadline pressures, and sensitive information
* Must have high level of proficiency in database applications, as well as Outlook, Word and Excel
* Previous experience working in hospitality or real estate industry a plus
* Excellent analytical, organizational, drafting and communication skills
* Must be comfortable working independently in a fast-paced environment and also as part of a team and demonstrate reliability, strong work-ethic, collaboration, and cooperation with team
* Must have strong detail orientation and follow-through
* Intellectually curious and adaptable to change
